MERCHANT AGREEMENT
This Merchant Agreement ("Agreement") is entered into between you (a sole proprietor, firm,
partnership, company, or other legal entity), along with any associated business you represent
(collectively referred to as "Merchant" or "you" or "User"), and
BluePanda Express powered by
M.A.R Express LLP,
a company registered under the laws of India, having its registered
office at C75, Shanti Shopping Center, Near Mira Road Station, Mira Road East, 401107,
offering logistics and shipment solutions under the brand name BluePanda Express (also
referred to as "Company," "we," or "our"). The Merchant and Company are collectively referred to
as the "Parties" and individually as a "Party."
BACKGROUND
This Agreement becomes effective once you register for our services or select the "Continue" or
"Accept" option on our platform.
By doing so, you confirm your full understanding, acceptance, and unconditional agreement to be
bound by all terms laid out in this Agreement. It constitutes a binding contract between you and
BluePanda Express powered by M.A.R Express LLP.
This Agreement is supplementary to our general Terms & Conditions (Annexure 1) and Privacy Policy
(Annexure 2), which govern your use of BluePanda's website ("Website") and mobile application
("App"), and your interaction with our logistics platform and services ("Services").
Should you have any questions regarding this Agreement or our policies, you can reach us at info@bluepandaexpress.com.
We strongly recommend reviewing this Agreement thoroughly. If you disagree or fail to understand
any of the conditions, you should not use or register for our services.
Violation of this Agreement may lead to legal action and/or termination of your account.
Our Website and App provide a digital platform to help businesses and individuals streamline
their logistics and shipping needs using the features and functionalities provided by BluePanda
Express. This includes but is not limited to, shipment booking, tracking, fulfillment services,
and partner integrations as per our offerings from time to time ("Services").
This Agreement forms the legal basis for using our cloud-hosted logistics management platform. It
is considered an electronic contract as per the provisions of the
Information
Technology Act, 2000
, and does not require any physical signature. It is issued
under Rule 3(1) of the Information Technology (Intermediaries Guidelines) Rules, 2011.
BluePanda Express reserves the right to update or modify this Agreement at its discretion
without prior notice
. Continued use of our services after any such change implies your
agreement to the updated terms.
In addition to this document, any operating procedures, service-level terms, disclaimers,
policies, or guidelines (general or specific) as published on our platform shall be treated as
an integral part of this Agreement. Non-compliance with any such terms shall be treated as a
breach of this Agreement.
Your access to and use of BluePanda Express services is subject to approval and may be revoked at
our sole discretion.

III. SHIPMENT BOOKING & PROCESSING JOURNEY
When scheduling a pickup on our platform, you'll have two options based on your location:
Blue Panda Pickup
We collect the shipment from your address
Self-Drop
You drop the parcel at our nearest logistics hub
After the shipment arrives at our hub, it is scanned, weighed, and routed according to the
selected service and destination. If there's a mismatch between declared and actual weight, we
will pause processing and notify you via email for approval before proceeding.
For international shipping, after clearing Indian customs, your parcels are processed at our
overseas hub and handed over to final mile delivery partners. These may include:

Branded networks such as DHL, FedEx, UPS, and Aramex handle deliveries directly from their
respective Delhi hubs with tracking available on their websites.
Delivery Attempts and RTO (Return to Origin):
Delivery is typically attempted at least once or twice depending on the local partner. If the
receiver is unavailable, the package might be:
- Left with a neighbour
- Dropped off at a local post office
- Left in a secure place (e.g., doorstep/mailbox)
Return Policies:
For parcels returned under our standard delivery service, charges will apply and the parcel may
be discarded (except in the USA or Europe where re-forwarding is available at extra cost).
Under branded networks (e.g., DHL, FedEx, etc.), undelivered items may return to India, subject
to provider-specific rules and charges.
Common causes for undelivered shipments:
- Incomplete/incorrect address
- Customer refusal
- Non-payment of duties/taxes
In case of non-acceptance of return shipments within 10 days, Blue Panda Express reserves the
right to discard them and levy any applicable fees including storage and disposal charges.
ANNEXURE 1 - TERMS AND CONDITIONS

AGREEMENT
These Terms and Conditions constitute a binding agreement ("Terms & Conditions") between you and
the legal entity you may be representing, if applicable (hereinafter referred to as "You",
"Your" or "User", which includes your heirs, administrators, successors, affiliates, and
permitted assigns) on one side, and
Blue Panda Express powered by M.A.R Express
LLP
, a limited liability partnership registered under the LLP Act, 2008, having its
registered office at [insert your full office address], on the other side (hereinafter
referred to as "Blue Panda Express", "We", "Us", or "Our", which includes our affiliates,
successors, and assigns).
The User and Blue Panda Express powered by M.A.R Express LLP shall be collectively referred to as
the "Parties" and individually as a "Party".
INTRODUCTION
Blue Panda Express powered by M.A.R Express LLP owns and operates the official website www.bluepandaexpress.com ("Website") and its mobile
application ("App"), collectively referred to as the "Platform(s)".
Through these Platforms, we offer international and domestic logistics and shipping solutions
either directly or via third-party shipping partners ("Services"), and may also offer products
for sale ("Products"), all of which are governed by these Terms and Conditions.
We advise you to carefully read these Terms, along with all referenced documents, before
registering, accessing, using, downloading, or purchasing anything via our Platforms or related
electronic interfaces.
ACCEPTANCE
Eligibility
The Platforms, Services, and Products are only available to individuals and legal entities who
are competent to contract under the Indian Contract Act, 1872. Any individual or entity
previously barred from accessing our services shall not be permitted to do so unless
specifically approved by Blue Panda Express powered by M.A.R Express LLP.
User Representations
By using our Platforms or Services, or by registering or placing any order, You represent and
confirm that:
- You are at least 18 years old;
- You are legally capable of entering into binding agreements;

You are not legally restricted from accessing or using our Platforms, Services, or Products;

You possess the authority to enter into and comply with this Agreement on behalf of yourself
or your organization;
- Your use of the Services does not breach any applicable laws or binding agreements;

You understand and accept that no bias or assumption shall be made in your favor or against
Blue Panda Express powered by M.A.R Express LLP as the drafter of this Agreement.
User Acknowledgement
By using the Platforms, registering, making a purchase, or clicking "I agree to the Terms and
Conditions", You irrevocably confirm and accept:

That this Agreement is a legally enforceable contract between You, Blue Panda Express
powered by M.A.R Express LLP, and any relevant stakeholders;

That this Agreement becomes effective from the moment you first access or interact with the
Platforms or Services;

That Blue Panda Express powered by M.A.R Express LLP reserves the right to amend, update, or
revise the Terms at any time without prior notice. Such updates are effective immediately
upon publication on www.bluepandaexpress.com, and you
are responsible for reviewing changes. Continued use of the Platform implies acceptance;

That You consent to automatic delivery of updates, bug fixes, feature improvements, and new
versions for effective platform functionality, and agree to such updates by continuing
usage;

That You will not impersonate another individual or misrepresent your identity, affiliation,
or age;

That You are solely responsible for evaluating the usefulness and accuracy of information
available on or through the Platform, and must rely on your own judgment or seek independent
advice;

That if at any time you disagree with these Terms, you shall immediately stop using the
Platform and Services, and clear any dues payable to Blue Panda Express powered by M.A.R
Express LLP;

That You are fully responsible for all actions taken via your account, including those by
minors or unauthorized users, and You will ensure they comply with these Terms;
- That You will use the Platforms solely to avail Services or purchase Products;

That You shall not attempt to reverse-engineer, disassemble, duplicate, or otherwise tamper
with any intellectual property or proprietary content of Blue Panda Express powered by M.A.R
Express LLP, including trademarks, trade secrets, software, copyrights, and designs;

That You shall not upload or transmit malware, viruses, or any software that may damage or
hinder the Platform's functionality;

That You acknowledge some Services and Products may be restricted to certain locations or
users, and Blue Panda Express powered by M.A.R Express LLP reserves the right to determine
such eligibility;

That You will comply with all applicable local, national, and international laws and
regulations, including export control and customs laws;
-
That You agree to receive official communications, alerts, updates, and notifications from
Blue Panda Express powered by M.A.R Express LLP via email, SMS, WhatsApp, or any other
approved communication channel. These messages shall be legally binding.

User’s Undertakings: While accessing or using the Platforms and/or Service and/or Products,
You hereby irrevocably and unconditionally agree and undertake not to:
- violate any of the provisions of the Agreement;
-
avail Services and/or Products with monies that may have been obtained illegally or
fraudulently or from sources not permitted under Applicable Law; • infringe Our or any third
party’s intellectual property rights, rights of publicity or privacy;
-
post, transmit, modify, store, update, or share any message or content data, image or
program which: (i) is libellous, defamatory, racially or ethnically objectionable; or (ii)
discloses private or personal matters concerning any person; or (iii) is false or untrue,
and is written or published in any form, with the intent to mislead or harass a person,
entity or agency for financial gain or to cause any injury to any person; or (iv) is
pornographic, vulgar, paedophilic, offensive in nature; or (v) which is harmful to a child;
or (vi) threatens the unity, integrity, defence, security, or sovereignty of India, friendly
relations with foreign states, public order; or (vii) which causes incitement to the
commission of any cognisable offence or prevents investigation of any offence or is
insulting to any other nation;

refuse to cooperate in an investigation or provide confirmation of Your identity or any
other information provided by You to BluePanda Express powered by M.A.R Express LLP;

use the Platforms or Services in any manner that could damage, disable, overburden, or
impair these, including, without limitation, using Platforms or Services in an automated
manner;
-
use any robot, spider, other automatic device, or manual process to monitor or copy the
Platforms, in whole or in part;
-
take any action that imposes an unreasonably or disproportionately large load on the
infrastructure / network of BluePanda Express powered by M.A.R Express LLP;
-
sell Services/Products, information, or software associated with or derived from these or
represent as BluePanda Express powered by M.A.R Express LLP’s representative to undertake
the same;
-
use the facilities and capabilities of Platforms to conduct any activity or solicit the
performance of any illegal activity or any activity that is unlawful or forbidden under
applicable law or under the Terms & Conditions or other activity which infringes the rights
of others; and
-
use Services in a manner that results in or may result in complaints, disputes, reversals,
chargebacks, fees, fines, penalties, and other liability to BluePanda Express powered by
M.A.R Express LLP, a third party or You.
USE OF PLATFORM AND AVAILING OF SERVICES

Provided You accept and comply with the Agreement, and have not revoked your acceptance,
BluePanda Express powered by M.A.R Express LLP hereby grants You a personal, non-exclusive,
nontransferable, limited, revocable privilege to enter and use Platforms and/or avail all or
some of the Services and/or purchase the Products. The availing of any Service(s) by You
shall
also be subject to compliance with all the other rules, guidelines, policies, terms, and
conditions specified by Us for that particular Service(s) being availed by You. You hereby
consent and agree to comply with the rules, guidelines, policies, terms and conditions,
instructions, requests, etc., as may be specified by BluePanda Express powered by M.A.R
Express
LLP, from time to time, in relation to each Service availed or to be availed by You. Your
access
to avail the Services will at all times be solely at the discretion of BluePanda Express
powered
by M.A.R Express LLP.

Registration on Platform: In order to gain access to the Platforms, You need to open a
User’s
account with BluePanda Express powered by M.A.R Express LLP by registering on the relevant
Platform 15 and completing the authentication process through one of the methods of
authentication specified on the Platforms, including but not limited to, entering the
one-time
password (OTP) issued by BluePanda Express powered by M.A.R Express LLP to You on Your
mobile
number that shall be provided by You. Your access to the Platform will be linked to the said
mobile number which shall be the registered mobile number. You agree, consent to and
acknowledge
that as part of the registration process, You will provide personally identifiable
information
about You like Your Name, email address, mobile phone number, address and contact details,
Postal code, Demographic profile (like your age, gender, occupation, education, address
etc.),
which shall be stored by BluePanda Express powered by M.A.R Express LLP and, BluePanda
Express
powered by M.A.R Express LLP may also store information about the pages on the site You
visit/access, the links you click on the site, the number of times you access the page and
any
such browsing information. All such information shall be stored and used in accordance with
the
Privacy Policy.
Account Data Confidentiality and Verification:
You hereby agree, represent, warrant and confirm that:

at the time of registration of Your account, You are obliged to provide correct, complete
and
accurate information including your personal information such as name, address, contact
number,
and KYC details, and further You shall at all times maintain accurate, complete and
up-to-date
account information including the personal information in Your account. The login
data/credentials are intended solely for Your personal use and therefore, are always to be
kept
secret and safe. Multiple users are not permitted to share the same/single log-in. You are
not
entitled to share the login credentials with any third parties for using Services or to
disclose
these otherwise. Further, You will be at all times responsible to maintain the
confidentiality
of the login credentials of Your account. You will immediately notify BluePanda Express
powered
by M.A.R Express LLP of any unauthorized use of Your passcode or account or any other breach
of
security, and in the event Your device has been lost or stolen, You shall request BluePanda
Express powered by M.A.R Express LLP, to block the account and/or change the passcode
immediately for the account;

You will provide additional information, on the request of BluePanda Express powered by
M.A.R
Express LLP to verify Your identity as a condition of providing any Service(s) to You or
before
BluePanda Express powered by M.A.R Express LLP permits You to use Service(s) through Your
relevant account;

You shall be solely responsible for immediately notifying BluePanda Express powered by M.A.R
Express LLP by contacting on support@bluepandaexpress.com of any change in Your e-mail
address
and/or mobile number registered with BluePanda Express powered by M.A.R Express LLP and/or
any
other Personal Information provided by You to BluePanda Express powered by M.A.R Express LLP
for
accessing the Platforms and/or availing the Services and/or purchasing the Products;

You may only possess one account, unless otherwise permitted by BluePanda Express powered by
M.A.R Express LLP in writing; and
-
You will provide the complete and correct address/description of the Customer to whom the
Shipment(s) have to be delivered as well as all the relevant information/details and
documents
(including but not limited to eway bill number and GST invoice, if applicable) while handing
over the Shipment(s) as required for purposes of providing the Services like custom
clearances
etc.
Scope of Services
By choosing to use the services offered by
Blue Panda Express powered by M.A.R Express
LLP
, you unconditionally agree to the following:
- You will adhere to the terms of this Agreement, including any future amendments.

Pickup and delivery services may be fulfilled by third-party courier partners contracted by
Blue Panda Express powered by M.A.R Express LLP. It is your responsibility to ensure
shipments are ready at the time of pickup.

You are responsible for collecting and storing a signed shipping manifest, which serves as
proof
of transfer to the assigned courier.
-
Shipments will be collected only from the address specified by you at the time of booking on
www.bluepandaexpress.com.
-
Couriers are assigned automatically based on factors like location, type of shipment, and
required delivery speed. Tracking numbers may not always be provided, and proof of delivery
is
not guaranteed.

All shipments must display a clearly visible label including the customer’s name, address,
contact number, return address, contents, order number, and total value.
-
You must package shipments securely using quality materials. If applicable, the invoice
inside
must comply with all relevant laws. Blue Panda Express powered by M.A.R Express LLP is not
responsible for any damage, tampering, leakage, or loss caused by improper packaging.

You are solely responsible for ensuring that the contents of your shipment comply with all
applicable laws, including those of the courier partner.
-
Online tracking may be available at our discretion, depending on the courier partner’s
systems.
-
You confirm that no prohibited, restricted, stolen, counterfeit, or otherwise illegal goods
will
be handed over for shipment. These include, but are not limited to: cash, currency, precious
metals, jewelry (excluding artificial), hazardous goods, or security instruments. See
Annexure A
for an indicative list.

If you violate this clause, Blue Panda Express powered by M.A.R Express LLP and/or its
partners
are not liable for loss or seizure. You agree to indemnify us and our vendors against any
resulting damages. We may also charge a penalty of ₹1,00,000 per incident (plus GST and
shipping
charges), or any amount deemed appropriate.

You acknowledge that Blue Panda Express powered by M.A.R Express LLP acts as a logistics
provider, not an insurer. Any claims based on insurance principles are waived.

Some deliveries may be completed by placing items in a mailbox, open porch, or requiring
pickup
from a designated location. These will be considered “delivered” in our system.
Third-Party Services

Any services or products accessed through third-party platforms are offered "as is."
Blue
Panda Express powered by M.A.R Express LLP
makes no guarantees about their accuracy
or performance.

We are not responsible for any issues, disputes, or fraudulent activity arising from
third-party transactions. You will need to resolve these with the relevant third party.
Payment Mechanism
Payment terms for each product or service are outlined on our website. Please read the respective
pages for detailed payment procedures.
KYC & Verification
You may be required to provide identification and documentation as per legal requirements. By
submitting these:

You confirm all documents (Aadhaar, PAN, passport, GST certificate, etc.) were shared
voluntarily.
- You authorize us to verify this data as needed by law.

You consent to sharing your details with partners, courts, law enforcement, or insurers if
necessary for resolving disputes or legal obligations.
Communication
To communicate updates or request verification:

We may contact you via SMS, email (using info@bluepandaexpress.com), or push notifications
using the details you've provided.

Receipt of alerts depends on your devices and settings. If alerts are delayed or not
received due to device limitations, we are not responsible.
- Once an alert is sent from our end, it will be deemed delivered.
Territorial Limits
Each service may have regional restrictions as specified on our website. Please review these
details before placing orders.
Account Suspension or Termination
We reserve the right to suspend or terminate your account without notice if:
- You provide false or incomplete information.
- You breach the Agreement.
- Suspicious activity is detected on your account.
- Promotional offers are misused or abused.
We may block features, reverse transactions, or deny access at our discretion. You can contact
our support team at info@bluepandaexpress.com with any
queries. Deletion of your account does not absolve you of obligations incurred before
termination.
Consequences of Suspension/Termination
Even after account deactivation, you are responsible for paying any dues. Your contractual
obligations remain until full payment is made.
Personal Data

By using our platform, you consent to the collection and use of your personal information in
accordance with our privacy policy.
- Your data may be shared with affiliates or third-party partners as permitted by law.

“Personal Information” includes any data you provide or we obtain during your use of our
services.
Rates & Pricing
-
All charges related to courier services by Blue Panda Express powered by M.A.R Express LLP
are calculated based on actual or volumetric weight (whichever is higher), as per
international logistics standards.

Our service pricing may vary by destination, service level, package type, and shipment
contents.
-
Any promotional rates offered are temporary and may be withdrawn or modified without notice.
-
Shipping charges once paid are non-refundable unless otherwise explicitly agreed in writing.
Handling Charges, Remote Area Surcharge, and Additional Fees
-
Shipments to remote or hard-to-reach areas may attract a remote area surcharge, which will
be billed separately or collected prior to delivery.
-
Handling fees may be applied for services such as packaging, reforwarding, relabeling,
repacking, or manual invoice processing.
-
In case a shipment is held by customs authorities for inspection or documentation
discrepancies, Blue Panda Express powered by M.A.R Express LLP may charge additional fees to
facilitate clearance, which are payable by the customer.

For shipments weighing above 22 KGs (actual or volumetric), additional handling charges may
apply, especially for destinations like the USA
Customs Clearance & Duties
-
All shipments are subject to inspection and clearance by destination country customs
authorities. Blue Panda Express powered by M.A.R Express LLP is not responsible for
delays or additional charges due to customs regulations.

The consignee (recipient) is solely responsible for paying any customs duties, import taxes,
or government-imposed fees levied in the destination country.
-
If the consignee refuses to pay duties or is unreachable, the shipment may be returned,
abandoned, or destroyed, and any associated cost will be billed to the sender.
-
We do not guarantee customs clearance timelines. You are advised to check with the
destination country's import guidelines before shipping.
Restricted / Prohibited Items
The following are examples of goods that must not be shipped under any circumstances
through Blue Panda Express powered by M.A.R Express LLP:
- Currency, bullion, precious stones or metals
- Firearms, ammunition, or explosive materials
- Hazardous or flammable chemicals
- Liquids without approved packaging
- Human remains or body parts
- Pornographic materials or items offensive under local laws
- Alcohol, narcotics, and other restricted drugs
A full list of banned or restricted items is available upon request or may be updated from time
to time on www.bluepandaexpress.com.
Violation of these terms will result in immediate account suspension and penalties as deemed
appropriate.
Loss, Damage & Claims

All shipments are handled with care. However, in the rare event of loss or damage, you must
notify Blue Panda Express powered by M.A.R Express LLP in writing at info@bluepandaexpress.com within 48 hours of
delivery or from the expected delivery date if the shipment is missing.
- Claims submitted beyond this period will not be entertained.

Any claim for damage must be supported by photos, invoice copies, and packaging evidence.
-
Compensation, if applicable, will be limited to the declared value of the goods or a maximum
liability amount as defined by the courier partner — whichever is lower.
Return to Origin (RTO) & Reattempts
-
If a shipment cannot be delivered due to incomplete address, refusal by the receiver,
non-payment of duties, or unavailability, it will be returned to the sender. RTO charges
will be billed at actuals.

A maximum of 2 delivery attempts may be made by our courier partners. After that, the
package may be marked as undeliverable.
-
Reattempt or redelivery requests will be considered only after payment of applicable
charges.
Force Majeure
Blue Panda Express powered by M.A.R Express LLP is not liable for delays or failure in
service due to events beyond our control, including but not limited to:
- Natural disasters (floods, earthquakes, storms)
- War, riots, or political unrest
- Government restrictions or customs strikes
- Airline cancellations or border closures
- Pandemics or health emergencies
Legal Jurisdiction
This agreement and any dispute arising under it shall be governed by the laws of India, and
courts located in Mumbai, Maharashtra shall have exclusive jurisdiction.
LIMITATION OF LIABILITY AND INDEMNITY
Limitation of Liability
Notwithstanding anything to the contrary set out in this document or any other agreement, you
hereby acknowledge and agree that:

The total liability of BluePanda Express powered by M.A.R Express LLP in relation to
any services offered shall be strictly limited as outlined in these Terms & Conditions
and/or any Merchant Agreement entered into with you.

Our logistics platform and associated services are provided strictly on an “as-is” and
“as-available” basis. Interruptions may occur during browsing, order placement, information
uploads, or other interactions due to technical or external reasons.

All services are rendered using reasonable commercial efforts.
BluePanda Express powered
by M.A.R Express LLP
does not guarantee uninterrupted service or timelines and shall
not be held liable for any delay, suspension, or failure to provide services.

We do not make any warranties—express or implied—regarding the performance, availability,
accuracy, or reliability of our services or products.

BluePanda Express powered by M.A.R Express LLP does not verify the accuracy of
user-submitted content or shipment data. To the maximum extent permitted by law, we disclaim
all liability resulting from a user's reliance on such information or use of the service.

You accept full responsibility for accessing or using our platform and services. To the
extent permitted by applicable law, BluePanda Express powered by M.A.R Express LLP,
including its directors, employees, agents, and service partners, shall not be held liable
for any direct, indirect, incidental, punitive, or consequential damages. This includes, but
is not limited to, loss of goods, business interruption, profit loss, data breach, or
malfunction caused by third-party systems, viruses, bugs, or other technical issues.

We shall not be held responsible for any temporary or permanent discontinuation of services
due to operational, business, or legal reasons.

Any failure by BluePanda Express powered by M.A.R Express LLP to fulfill obligations
caused by circumstances beyond its reasonable control—such as natural disasters, war, civil
unrest, government action, pandemics, labor strikes, or changes in law—shall not constitute
a breach of contract.

BluePanda Express powered by M.A.R Express LLP shall not be held responsible for any
damages, losses, or liabilities that may arise due to actions taken based on the user's
prior consent.

The pricing of services and all associated terms and disclaimers have been carefully crafted
by relying on the above limitations and disclaimers. These constitute a fair and reasonable
risk allocation between you and BluePanda Express powered by M.A.R Express LLP, and
they are an essential foundation of the commercial relationship.

Our liability, to the extent it arises and is legally recognized, shall be strictly limited
to the direct user of our services. We do not bear any direct or indirect obligation or
liability toward your customers or shipment recipients.
Capped Liability for Claims
If a claim for compensation is accepted, it will be limited as follows:

For shipments weighing up to 100 grams, the maximum reimbursement will be
30% of
the invoice value plus shipping fees

Indemnity
You agree to indemnify, defend, and hold harmless

, including its affiliates, directors, employees, agents, and service providers
(“Indemnified Parties”), from and against any and all losses, claims, damages, liabilities,
costs, and expenses (including legal fees) that may arise out of or relate to:

Your misuse or improper use of our platform, services, or any products delivered through our
system.
- Any violation by you of these Terms & Conditions or the Merchant Agreement.

Any misrepresentation, inaccuracy, or breach of warranties and obligations made by you.

Any negligent or intentional act or omission by you, including non-compliance with
applicable laws, including but not limited to tax laws and cyber security regulations.

Any infringement by you of a third-party’s rights, including intellectual property or
privacy rights.

Any claim from a third party (including your end customer or consignee) arising out of your
shipment or use of our service.

Any unpaid duties, taxes, cess, clearance charges, or levies imposed on shipments handled
through your account.
In the event of such a claim, BluePanda Express powered by M.A.R Express LLP will provide
written notice and you agree to assist in the defence, at your expense, including providing
relevant documents, records, or testimony as reasonably required.
INTELLECTUAL PROPERTY AND CONFIDENTIAL INFORMATION
You acknowledge and agree that BluePanda Express powered by M.A.R Express LLP is the sole
and rightful owner of all intellectual property associated with its business, platform, and
services. You shall not register, file, or use—under your name or that of any other person or
entity—any trademarks, brand names, or symbols that are identical or deceptively similar to
those owned by BluePanda Express powered by M.A.R Express LLP. You further agree not to
associate our intellectual property with any other business or activity, except as permitted
under these Terms & Conditions.
For the purposes of this clause, "intellectual property" includes but is not limited to: names,
signatures, logos, words, symbols, numerals, software, trademarks (whether registered or
unregistered), brand names, service marks, trade names, designs, technical know-how, and trade
secrets belonging to BluePanda Express powered by M.A.R Express LLP.
Nothing in this Agreement shall be construed as granting you the right to use, display,
distribute, or exploit our intellectual property without prior written consent. All content
available on our platform and through our services is the exclusive copyright of
BluePanda
Express powered by M.A.R Express LLP
, except for third-party content and external links.
GOVERNING LAW AND JURISDICTION
This Agreement shall be governed by and interpreted in accordance with the laws of India.
In the event of any dispute or disagreement arising out of or in connection with this Agreement,
the parties agree to attempt to resolve such matters amicably through mutual discussion for a
period of thirty (30) days following receipt of a written notice of dispute ("Disputes Notice").
If the dispute remains unresolved after the specified period, it shall be referred to
arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended. A sole
arbitrator shall be mutually appointed by the parties within forty-five (45) days after the
dispute resolution period expires. If the parties fail to appoint an arbitrator within that
time, the appointment shall be made as per the provisions of the Arbitration Act.
The arbitration proceedings shall be conducted in English, and the seat and venue of arbitration
shall be New Delhi, India.
Subject to the arbitration clause above, the courts of New Delhi shall have exclusive
jurisdiction over any disputes.
Notwithstanding the above, BluePanda Express powered by M.A.R Express LLP reserves the
right to initiate legal proceedings against you in any jurisdiction it deems fit, including but
not limited to the enforcement of any orders, relief, or judgments. We may also pursue
concurrent proceedings in multiple jurisdictions, as permitted by law.
The rights, remedies, and powers provided to
BluePanda Express powered by M.A.R Express
LLP
under this Agreement are cumulative and may be exercised concurrently or
independently of other legal rights or remedies.
MISCELLANEOUS
Relationship
This Agreement establishes a principal-to-principal relationship between you and
BluePanda
Express powered by M.A.R Express LLP
. It does not create any partnership, agency, joint
venture, employment, or fiduciary relationship. Neither party shall have authority to bind or
obligate the other in any manner.
You agree that the services rendered by us are those of an independent service provider and do
not imply that BluePanda Express powered by M.A.R Express LLP is acting as your seller,
retailer, distributor, or stockist.
Notices
All notices or communications relating to this Agreement or our services must be sent via email:

M.A.R Express LLP, including by SMS, WhatsApp, or other electronic means.
All notices will be deemed received once sent to your registered contact details.
Assignment
BluePanda Express powered by M.A.R Express LLP may, at its discretion and without
requiring your consent, assign or transfer its rights and obligations under this Agreement to:
- Its affiliates, group entities, or associates; or

Any third party in connection with a restructuring, merger, demerger, or change in control.
You may not assign your rights or obligations under this Agreement without prior written consent
from us.
Waiver
Our failure or delay in exercising any right under this Agreement shall not constitute a waiver
of that right or any other rights. Any single or partial exercise of a right does not prevent
further exercise of that or any other right.
The rights provided herein are cumulative and do not exclude other rights provided by law or
equity.
Severability
If any provision of this Agreement is found to be unlawful, invalid, or unenforceable under any
jurisdiction, the remaining provisions shall continue in full force and effect. We may revise
such provisions to maintain the intent and balance of the original Agreement.
Survival
All provisions of this Agreement which by their nature should survive termination shall continue
to be binding, including (but not limited to) those relating to confidentiality, limitation of
liability, intellectual property, dispute resolution, and indemnification.
Non-Exclusivity
This Agreement does not grant exclusivity. You are free to engage with other logistics providers,
and we reserve the same right to engage with other clients.
Compliance with Laws
You are solely responsible for complying with all applicable laws, rules, and
regulations—including domestic, international, tax, and customs laws—related to your use of our
platform and services. You must also maintain all necessary licenses, permits, and approvals.
Specific Performance
Either party may seek specific performance to enforce any provision of this Agreement, without
the need to demonstrate that monetary damages are inadequate.
Entire Agreement
This Agreement, together with its annexures, SOPs, SLAs, and any related documents, constitutes
the full and final understanding between you and
BluePanda Express powered by M.A.R Express
LLP
. Unless otherwise specified by us, the terms herein shall supersede all prior
discussions, communications, and understandings.
DEFINITIONS AND INTERPRETATIONS
Definitions
Unless the context otherwise requires, the following terms used in this Agreement shall have the
meanings assigned below:

“Agreement” refers to these Terms & Conditions, including all recitals, annexures,
schedules, appendices, and any subsequent amendments. This also includes the Privacy Policy,
Merchant Agreement, service-level agreements (SLAs), standard operating procedures (SOPs),
and any additional terms, rules, or policies issued by BluePanda Express powered by M.A.R
Express LLP via www.bluepandaexpress.com.

“Applicable Law” means any statute, regulation, ordinance, rule, order, directive,
guideline, decree, notification, or decision issued by any governmental or judicial
authority having jurisdiction, whether in India or elsewhere, and having the force of law.

“Customer” refers to any individual or legal entity to whom the User is shipping the
consignment—that is, the consignee.

“Legal Entity” includes any organization with legal standing such as corporations,
partnerships (general or limited), joint ventures, trusts, associations, government
agencies, limited liability companies (LLCs), limited liability partnerships (LLPs), or any
similar legal formation.

“Product(s)” means any items or goods being transacted through or facilitated by
BluePanda Express powered by M.A.R Express LLP via its platform or services.

“RTO” or “Return to Origin” denotes any shipment that is either rejected or
undelivered to the Customer and is subsequently returned to the User at the original pickup
address or another address designated by the Client.

“Merchant Agreement” refers to the specific agreement issued by
BluePanda Express
powered by M.A.R Express LLP
, outlining the terms related to shipment handling,
weight determination, service responsibilities, pricing structures, and liability terms.

“Shipment(s)” means any package or parcel that is dispatched by the User to the
Customer using services provided through

“Shipping Vendors” refers to all third-party logistics and delivery partners engaged
by BluePanda Express powered by M.A.R Express LLP to facilitate transportation and
shipment of goods.
Interpretations
In this Agreement, unless stated otherwise:

References to statutes include any amendments, re-enactments, or substitutions thereof,
along with related regulations or statutory instruments.

Any reference to the "Agreement" includes amendments and modifications as may be made from
time to time.

Words denoting the singular include the plural and vice versa. References to a particular
gender include all genders.

Headings are for convenience only and do not affect the interpretation of any clause or
provision.

Recitals, schedules, annexures, and appendices are deemed integral parts of this Agreement
and hold equal legal effect as the main body.

The words "including" or "include" are intended to be illustrative and not exhaustive or

Where a broader interpretation is applicable, the terms “other” and “otherwise” shall not be
narrowly construed (i.e., not ejusdem generis).

References to "Person" or "Persons" include individuals, businesses, government entities,
and other legally recognized organizations or associations.

Terms defined elsewhere in this Agreement shall carry the same meaning throughout unless
context dictates otherwise.

Words such as “hereof,” “herein,” “hereto,” and similar expressions refer to the Agreement
as a whole or to the relevant provision being discussed.
